The Legal Coordinator provides comprehensive administrative and organizational support to the Assistant Corporate Secretary and Securities & Corporate Law Clerk, Senior Legal Counsel and Senior IP Law Clerk. This role ensures the accurate preparation and distribution of board materials, coordination of meetings and maintenance of statutory records. It also provides essential support in managing and protecting the company’s intellectual property assets.

 

The position requires strong organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.

 

What you'll be doing:
Board of Directors Rogers Communications Inc. and Rogers Bank

Board Material Management:
• Prepare and distribute board and committee materials via Diligent Boards.
• Maintain organized board portal documents and provide user training as needed.

 

Meeting Coordination:
• Coordinate logistics for board and committee meetings, including boardrooms, catering, and seating plans.

 

Director Support and Records Management:
• Maintain up-to-date director and officer records, including contact details and attendance,
• Draft various resolutions and board compensation letters

 

Governance and Compliance:
• Develop and administer board surveys using Diligent to support governance practices.

 

Corporate and Securities

Corporate Governance Documentation:
• Draft annual resolutions for Rogers and its subsidiaries.
• Draft certified resolutions.
• Manage minute book maintenance in collaboration with external counsel.

 

Regulatory Filings & Compliance:
• Assist with drafting annual return filings and liaise with external counsel.
• Support Schedule 1 Ownership return filings to ensure regulatory compliance.

 

Records Management:
• Draft and maintain director and officer lists for Rogers and its subsidiaries, including French translations, and coordinate internal website postings.

 

Board & Shareholder Support:
• Provide assistance with proxy circular matters related to Board of Directors.
• Draft routine correspondence to clients and stakeholders.

 

Technology & Systems:
• Proficient in DocuSign for secure electronic execution and Oracle for financial processing.

 

Intellectual Property

Trademarks:
• Conduct trademark, common‑law, and other IP‑related searches as required.
• Prepare, file, and manage trademark applications with the Canadian Intellectual Property Office (CIPO), including tracking prosecution deadlines, maintaining the due‑date system, and the CIPO deposit account for trademark‑related fees
• Monitor IP mailboxes and ensure timely receipt, logging, and distribution of CIPO correspondence and other IP communications.
• Prepare trademark portfolio reports, including status, usage, and registration summaries across all business units, as needed.

 

IP Licensing and Rights Management:
Review third‑party licensing requests for use of the Rogers’ trademarks, logos, and other protected material; prepare first drafts of material use licenses for review by senior law clerk.

 

Domain Name Portfolio Management
• Assemble, review, and maintain Rogers’ domain name portfolio.

 

What you have:
• Post-secondary education in legal or business discipline; 3–5 years relevant experience.
• Familiarity with regulatory filings and corporate record-keeping.
• Experience in providing administrative support for Board of Directors Meetings.
• Knowledge of trademarks, copyright, and domain name management, with experience in handling filings, searches, and rights clearance.
• Excellent written and verbal communication skills
• Proficiency in Microsoft Office, Powerpoint, Diligent Boards, DocuSign, and Oracle.
• Strong organizational skills, strong record keeping skills, attention to detail, confidentiality, and ability to manage multiple priorities in a fast-paced environment. • • • Excellent communication and customer service focus.
